Terms of Use
These Terms of Use (“Terms”) constitute a legally binding agreement between 234 Africa Entertainment Limited, RC 8569366, with its registered office at Oluwakayode Jacobs Crescent, Lekki, Lagos State, Nigeria (“greyapple.vip”, “we”, “our”, or “us”) and any person or entity (“you” or “User”) who accesses or uses the Greyapple platform, including our website, mobile applications, and related services (collectively, the “Platform”).
By creating an account, purchasing tickets, listing events, or otherwise using the Platform, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, you must discontinue use of the Platform.
1. Scope of Services
- Greyapple provides a digital marketplace that allows Event Organizers to list and sell tickets and Event Attendees to purchase tickets.
- We act solely as a facilitator of transactions. We do not host, produce, or control the quality, safety, accuracy, or legality of events listed.
- Any contract for the purchase of a ticket exists strictly between the Event Organizer and the Event Attendee. We are not a party to that contract.
2. Eligibility
- Use of the Platform is restricted to persons aged 18 years and above.
- By accessing the Platform, you warrant that you meet this requirement and have the legal capacity to enter into binding contracts.
- If you use the Platform on behalf of a company or other entity, you represent that you are authorized to bind such entity to these Terms.
3. Account Registration & Responsibilities
- To access certain features, you must create a User Profile by providing accurate and complete information.
- You are responsible for maintaining the confidentiality of your login details and for all activities under your account.
- Event Organizers must ensure:
- Event details are accurate, complete, and kept up to date.
- Attendees are informed promptly of cancellations, postponements, or material changes.
- Refunds are handled in accordance with our Refund Policy.
- Event Attendees must provide valid and accurate purchase information and comply with event-specific rules set by Organizers.
4. Restricted Conduct
You must not, directly or indirectly:
- Use the Platform for unlawful, fraudulent, or malicious purposes.
- Misrepresent your identity or affiliation, or impersonate any other person.
- Interfere with the security, integrity, or operation of the Platform.
- Post, transmit, or share content that infringes third-party rights, including intellectual property rights.
- Attempt to access another User’s account without authorization.
- Circumvent any security features or engage in data mining, scraping, or automated access.
Violation of these rules may result in suspension or termination of your account and possible legal action.
5. Fees and Payments
- Ticket purchases will be subject to service charges, processing fees, or other applicable charges. Such fees are non-refundable, except where required by law.
- Payments are processed by third-party providers (e.g., Paystack). By making a payment, you agree to be bound by the terms of such providers.
- Organizers are solely responsible for setting ticket prices and ensuring pricing accuracy.
6. Intellectual Property
- All content, software, design, logos, and trademarks on the Platform belong to 234 Africa Entertainment Limited or its licensors.
- You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose only.
- You may not copy, reproduce, distribute, or create derivative works from the Platform without our prior written consent.
7. Platform Availability & Security
- We strive to keep the Platform available at all times, but we do not guarantee uninterrupted access. Maintenance, updates, or technical failures may occasionally restrict availability.
- You are responsible for securing your own internet access, devices, and data.
- We implement security measures but cannot guarantee that the Platform will be free from viruses, hacking, or other harmful elements.
8. Liability and Disclaimers
- The Platform is provided on an “as is” and “as available” basis without warranties of any kind.
- We disclaim all liability arising from:
- The quality, safety, or outcome of events listed by Organizers.
- Cancellations, rescheduling, or refusal of entry at events.
- Losses or damages caused by technical failures, unauthorized access, or force majeure events.
- Your sole remedy for dissatisfaction with the Platform is to stop using it.
9. Indemnification
You agree to indemnify and hold harmless 234 Africa Entertainment Limited, its directors, employees, and affiliates from any claims, liabilities, damages, or expenses (including legal fees) arising out of your:
- Breach of these Terms;
- Misuse of the Platform; or
- Violation of applicable laws or third-party rights.
10. Third-Party Services
- The Platform may integrate with services provided by third parties (e.g., payment processors, hosting services).
- We are not responsible for the performance, policies, or actions of these third parties.
- Your use of third-party services is at your own risk and subject to their terms of use.
11. Termination of Access
- We may suspend or terminate your account, with or without notice, if you breach these Terms, misuse the Platform, or for any other lawful reason.
- You may close your account at any time by following the procedures on the Platform.
- Termination does not affect any obligations or rights accrued before termination, including our rights to indemnification and limitation of liability.
12. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Any dispute that cannot be resolved amicably within 30 days shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act, 2023.
- Arbitration shall be conducted in English by a sole arbitrator appointed by agreement of the parties, or in default, by the Chartered Institute of Arbitrators (Nigeria Branch).
- The arbitral award shall be final and binding, but we reserve the right to pursue claims in Nigerian courts if necessary.
13. Miscellaneous
- Severability: If any provision of these Terms is held invalid, the remaining provisions remain in effect.
- No Waiver: Our failure to enforce any provision shall not be deemed a waiver of rights.
- Assignment: We may assign or transfer our rights under these Terms without restriction. You may not assign your rights without prior written consent.
- Relationship: Nothing in these Terms creates a partnership, employment, or agency relationship between you and us.
